RedeParede.com (“Site”) is a web site primarily providing a service(s) to visitors and members (collectively “Users”) of the Site. In making use of the services then being provided by the Site, Users agree to follow, and at all times abide by, the Terms of Use (“ToU”) of the Site. As such, it is strongly recommended that any intended User carefully review the ToU prior to availing themselves of the services provided by the Site.

Access

The Site grants you, as the User, a limited, revocable, non-exclusive license to access and use the services of the Site, which use does not include any action that would violate the terms and conditions of this ToU.

In your use of the Site, the Site permits you as a User to display your advertisement or posting and in doing such to display your logo or a link to your website; provided that such is not for profit nor for commercial use.

If the User objects to any term or condition of the ToU or become dissatisfied with the Site in any way, its only recourse is to immediately discontinue use of the Site. The license granted to the User does not include any data gathering and extraction for any purpose unless expressly permitted by the Site, and any use of the Site and its services beyond the scope of authorized access granted to the User by the Site will immediately terminate the license.

Privacy Policy Statement

The Site has established a Privacy Policy Statement informing Users of how their information may be used and stored by the Site. Use of the Site is considered deemed consent that the Site may store and use information collected about you in the manner as then set out in the Privacy Policy Statement of the Site.

Conduct

As a User of the Site, you agree that you will not post, email or otherwise make available content which, in its absolute discretion, the Site may deem:

The Fair Housing Act or other applicable housing laws prohibiting discrimination on the basis of protected characteristics, violations of applicable equal employment opportunity laws based on such characteristics, and the anti-discrimination provision of the Immigration and Nationality Act.

  1. threatening, hateful, racial, hurtful, harmful, unlawful, abusive, embarrassing, defamatory, libellous, invasive (especially of another User’s privacy), distressful, discomfort, or which may, in any manner or way, inhibit another User from their unfettered enjoyment and use of the services provided by the Site, including, without cause for limitation, toward a person or group or persons based on their religion, gender, religion, sexual preference, ethnicity, origin, age or any disability.

  2. pornographic (unless specifically permitted by the Site), including, without cause for limitation, any act depicting : (a) sexual intercourse howsoever, (b) bestiality, (c) masturbation, (d) sadism, (e) masochism, (f) displays of male and/or female genitals, including any visual displays of pubic areas.

  3. is in illegal, violates any law or regulation, is prohibited under any law or regulation; including trying to assist another User or person to engage in such illegal or prohibited activities.

  4. constitutes the sending of mass unsolicited mailing or e-mailing to other Users of the Site, which, without cause for limitation, shall include any “mail bombs”, philfing, junk mail, chain letters, pyramid schemes, or spam. For the avoidance of doubt, content included within this section includes the use by a User of any form of automated device or computer program which would allow the User to send or post content without the User having to actually manually input the data themselves (commonly known as an “automated posting device”).

  5. contains any software viruses, files, device or programs (which, without cause for limitation, includes any spider, scripts, sound waves, bots, worms or Trojan horses), or which in any way attempts to interrupt, destroy, limit the functionality of any computer software or hardware, whether such be used by another User of the Site or the Site itself.

  6. attempts to decipher, decode, reverse engine, disassemble or gain unauthorized access to either the computer system used by the Site, it’s management or employees or by any other User of the Site which would interfere in any way with the service being provided by the Site or received by other Users

  7. attempts to impersonate another person, including another User of the Site and/or an employee of the Site, including, without cause for limitation, the provision of any information about any third party or another User without their express consent to such action.

  8. constitutes a deletion or revision of a post, email or content posted by another User.

  9. is considered as the posting of a free ad to promote the links or commercial services of another web site; including any action which might otherwise be considered to constitute affiliate marketing.

  10. that attempts to infringe or infringes the patent, copyright, trade mark, service mark, logo, intellectual property right or confidential information of another.

  11. that advertises (whether such is for sale or otherwise) any illegal or immoral service or the sale of any item which would otherwise be illegal, which, for the avoidance of doubt, unless otherwise expressly permitted by the Site, includes (a) any controlled and/or illegal drugs, including substances and items used to manufacture controlled substances and drugs paraphernalia; (b) prescription drugs and medical devices; including but not limited to prescription lens or contact lens, defibrillators, hypodermic needles or hearing aids; (c) non-prescription drugs that make false or misleading claims or treatment claims that require government approval; (d) prostitution; (e) escort services; (f) donor services, including blood, bodily fluids or body parts of any nature or description; (g) ammunition, handguns and weaponry, BB guns, tear gas, stun guns, fireworks (including “safe and sane fireworks”), undetectable and switchblade knives, martial arts weapons, sniper scopes, silencers, large capacity magazines ; (h) child pornography; (i) alcohol or tobacco products; (j) any animals or any animal parts, as the case may be, which shall include the retail sale of cats and dogs; (k) pesticides or hazardous substances, or items containing hazardous substances such as contaminated toys, or art or craft material containing toxic substances without a warning label; (l) illegal telecommunications equipment, such as access cards, password sniffers, access card programmers and unloopers, or cable descramblers; (m) stolen property or personal property with the serial number removed or altered; (n) burglary tools, such as lock-picks or motor vehicle master keys; (o) false identification cards, items with police insignia, citizenship documents, or birth certificates; (p) counterfeit currency, coins and stamps, as well as equipment designed to make them; (q) counterfeit, false, replica, or knock-off brand name goods; (r) airline tickets that restrict transfer; (s) gambling items, such as lottery tickets, sports trading card 'grab bags,' raffle tickets, sweepstakes entries or slot machines; (t) or any other content which may, from time-to-time, be prohibited by the Site.

  12. that would otherwise be considered as: (a) “stalking”; (b) a “bait and “switch” posting; (c) deliberately misleading; (d) irrelevant.

  13. in the case of any adult images or posting made to the Site, each User hereby acknowledges and accepts that: (a) posting of an adult nature shall only be made to the appropriate forum of the Site designated for this purpose; (b) that all posting shall be made by Users who are authorised to post in such forums; (c) that no images or pictures with may be deemed to include adult content will be made available on any other forum of the Site apart from those forums that are authorised forums for this purpose; (d) that no images or picture will be made available by Users in any public gallery area; (e) no pictures or images posted on the Site by Users will promote any sexual services, including, but not limited to, any escort services or prostitution; (f) while the posting of adult content by authorised Users may be permitted in restricted areas, no User will use such services offered by the Site to promote any illegal activity, including, but not limited to, any child pornography.

  14. without the prior consent of the Site, Users of the Site shall refrain from emailing or otherwise sending to other Users of the Site (including posting internal messages, commonly known as “PMs”) any pornographic or adult material to any other User of the Site.

  15. anything which would be considered as the promotion of any franchise, pyramid scheme, multi-level marketing, “club membership”, distribution or sales representative agency arrangement or other business opportunity that would otherwise require either an “up-front” payment, membership fee, or any form of periodic membership fee.

  16. anything, of any nature, which promotes or advertises any service which is in competition (whether such be direct or indirect) with the services being offered by the Site.

  17. anything which requires the recruitment of other members, sub-distributors, sub-agents, or which pays commission or promotes the payment of commission (except for postings that make it clear that the available job advertised pays commission only and clearly sets out the product or service that the job seeker would be selling, in which case, it may be permitted by the Site).

Postings

All postings or content posted on the Site are the sole responsibility of the person who posts such content.

Unless otherwise proven to the satisfaction of the Site, each User hereby acknowledges, agrees and accepts that, at all times, they shall abide by the ToU each time they post, email or otherwise make available content to the Site. Users further understand that they shall be solely responsible for all posts, emails or content made available to the Site.

Furthermore, each User acknowledges, agrees and accepts that in making any post, email or otherwise making available any content to the Site, they are granting to the Site, it owners or affiliates, the right (a license) to reproduce, distribute, translate, archive or otherwise use the posted content in any manner or way that the Site shall deem fit.

Any post, email or otherwise making available any content to the Site will be treated as non-confidential and non-proprietary to you the User and, as such, may be edited, amended or changed by the Site for any purpose whatsoever; including, without cause for limitation, the reproduction, disclosure, transmission, publication, broadcasting, posting or advertising of such content without need to compensate you the User.

Any posting made by a User to the Site which may contain any libellous content will be the sole responsibility of the User.

Any dealings between a User and the other Users of the Site are personal.

Any posting made by any User in any restricted access areas shall remain in such restricted access areas and shall not be made available for general distribution postings, either via email or otherwise, to any other area of the Site that falls outside of the restricted area that the posting was made in.

The soliciting of any illegal activity, either implicitly or explicitly, is prohibited by the Site.

Adult Content

In certain restricted circumstances, a select group of Users may be given access to forums which include adult content, images and pictures. It is imperative that the Site verify Users of these forums are of a lawful age to view and participate in such topics of discussion. Consequently, the Site will ask Users to verify that they are of a lawful age to view such forums. While the Site will use its best endeavours to ensure that any Users of the Site qualify meeting the criteria to participate in these adult forums, the Site will accept no liability for any fraudulent answers to its verification process that may give rise to a minor having access to the adult content forums and it is clearly understood that it is the responsibility of any parents of any child using the Site to ensure that they monitor the child’s use of the Site at all times. Notwithstanding the foregoing, the Site reserves the right at all times to immediately terminate any User’s access to any restricted areas of the Site.

Third Party Content

The Site may contain content that may provide the User with access to third party content that is independent of the Site. Any interaction between the User and third parties found on or through the Site are solely between the User and such third parties. The User agrees that the Site will not be responsible for and will have no liability for any damage or loss incurred from its dealings with third parties, and that the Site has no obligation to become involved in any dispute between the User and third parties. If the User is are a California resident, it waives California Civil Code section 1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which, if known by him must have materially affected his settlement with the debtor."

Notification of Infringement Claim

If the User believes that its copyright or other intellectual property rights have been violated by content on the Site, the User should contact the Site at its postal or e-mail address, and include the following information: 1) identification of the material that claim is infringing with enough detail that the Site may locate it; 2) a statement that the User believes in good faith that the use is not authorized by the copyright owner and a statement declaring under penalty of perjury that the information the User provides is accurate and that it owns the copyright, or is authorized to act on the copyright owner's behalf; 3) the User's contact information; and 4) the User's signature. The Site will remove infringing posts subject to the procedures of the Digital Millennium Copyright Act.

Termination/Cessation of Access

The Site has the right, but not the obligation, to terminate/modify/etc. your access to the Site and its services if the Site believes you have violated the terms and conditions of this ToU or the spirit of the ToU. In addition, the Site has the right, but not the obligation, to terminate/modify/ or make any amendment to any post you make, to delete any post you make, and to block your IP and e-mail address. Any such action undertaken by the Site in accordance with this provision shall not require the giving of notice or time to the User of such action. You agree to hold the Site harmless from any action it may take in accordance with this provision.

Proprietary Rights

The Site is protected to the maximum extent permitted by copyright laws and international treaties. Content on the Site is protected by copyright as a collective work and/or compilation, and any reproduction or modification thereof without the Site's express written consent is prohibited. Although the Site does not claim ownership of content posted by Users, the User grants and represents and warrants that it has the right to grant to the Site an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, copy, perform, display and distribute content the User posts, and to create derivative works of such content, or incorporate it into other works, and to grant and authorize sublicenses of the foregoing.

Disclaimer of Warranties and Release

USER AGREES THAT ANY USE OF THE SITE AND ITS SERVICES IS ENTIRELY AT THE RISK OF THE USER AND THAT SUCH SITE AND SERVICES ARE PROVIDED ON AN “AS IS” OR “AS IS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND. THE SITE SHALL NOT BE RESPONSIBLE FOR ANY CONTENT FOUND ON THE SITE AND EXPRESSLY DISCLAIMS ANY WARRANTY, FITNESS FOR PURPOSE, MERCHANTABILITY, NON-INFRINGEMENT OF PROPRIETARY RIGHTS, WHETHER SUCH BE , EXPRESS, IMPLIED OR OTHERWISE.

USER ACKNOWLEDGES AND AGREES THAT ANY MATERIAL, DATA, DOWNLOADS, OR INFORMATION OTHERWISE OBTAINED VIA THE USE OF THE SITE BY THE USER IS DONE AT THE DISCRETION AND RISK OF THE USER ALONE AND THAT THE USER IS SOLELY RESPONSIBLE FOR ANY LOSS THAT RESULTS FROM THEIR USE IN ANY WAY OF THE SITE.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE DISCLAIMS ANY WARRANTY FOR SECURITY, RELIABILITY, TIMELINESS, ACCURACY AND PERFORMANCE OF THE SITE AND ITS SERVICES. MOREOVER, THE SITE DISCLAIMS ANY WARRANTY FOR GOODS OR SERVICES OBTAINED THROUGH OR ADVERTISED ON THE SITE OR BY MEANS OF ITS SERVICES.

THE SITE ASSUMES NO RESPONSIBILITY, DIRECTLY OR INDIRECTLY, FOR THE ACCURACY OF ANY RELIABILITY, TIMELINESS, ACCURACY AND PERFORMANCE OF ANY THIRD PARTY SITE THAT MAY BE LINKED TO FROM THE SITE.

THE SITE SHALL NOT BE RESPONSIBLE TO ANY USER FOR ANY DAMAGES, WHETHER SUCH BE SPECIAL, CONSEQUENTIAL, EXEMPLARY OR OTHERWISE RESULTING FROM ANY USE OF THIS SITE OR ITS SERVICES.

Indemnity

Each User hereby unconditionally and irrevocably holds the Site, its management, officers, employees, affiliates, subsidiaries, parent company, assigns, successors, agents and suppliers harmless from any claim made by any third party arising from any content or positing made by you, or through your use of the services provided by the Site, or as a result of your violation of the terms and conditions of this ToU.

Each User indemnifies the Site and its affiliates from any claim arising out of User's breach of any of its representations and warranties in the ToU or the User's violation of the rights of another.

Each User hereby indemnifies and holds harmless the Site, its management, officers, employees, affiliates, subsidiaries, parent company, assigns, successors, agents and suppliers from any use of the Site or its services by the User.

Each User hereby agrees to indemnify the Site for all and any costs and expenses, including reasonable attorney fees, that it may have to incur as a result of any legal proceedings instigated by the Site against the User or by any third party against the Site as a result of any action by the User, as the case may be.

Violation of Terms

Because damages are often difficult to quantify, if it is necessary for the Site to pursue legal action to enforce the ToU, User will be liable to pay the Site liquidated damages in the following amounts (though the Site may in its sole discretion issue a warning before assessing damages), which User accepts as reasonable estimates of the Site's damages for the specified breaches of the ToU:

  1. Except for content constituting lawful non-deceptive parodies of public figures, if User posts content that impersonates any person or entity, misrepresents their affiliation with a person or entity, or includes personal or identifying information about another person without that person's explicit consent, User agrees to pay the Site US$1000 for each such post.

  2. If User sends unsolicited email advertisements through Site's computer systems, User agrees to pay the Site US$25 for each such email.

  3. If User posts content in violation of the ToU other than described above, User agrees to pay the Site US$100 for each such post.

  4. If User copies, displays, or otherwise exploits for any purpose any content other than User's own content in violation of the ToU without the Site's express written permission, User agrees to pay the Site US$3000 for each day on which User engages in such conduct.

Notwithstanding the above, User agrees to pay the Site's actual damages, to the extent they can be reasonably calculated. The Site retains the right to seek specific performance of the ToU and equitable relief against the breach of any term of the ToU.

Limitation on Liability

Each User of the Site or its services hereby acknowledges and agrees that the information made available to the User may contain errors. Each User of the Site or its services hereby acknowledges and agrees that the services provided by the Site may be subject to interruptions. Each User of the Site or its services hereby acknowledges and agrees that the Site cannot be held responsible for any errors, defects, loss of profit (whether consequential or otherwise) arising from the use of the Site or its services by the User.

The Site has no liability for deletions or failure to store any content posted by any person with or without notice.

Refunds

The Site does not offer refunds for any cancellation of any subscription or paid for items, including advertisements, displayed on the Site.

Modification and/or Amendments to the ToU

The Site reserves the right to change, modify or otherwise alter the terms and conditions of the ToU at any time. Any change, modification or alteration to the terms and conditions of the ToU shall become effective immediately upon publication of such on the Site. If, at any time, you are concerned that you may be in violation of the ToU, it is strongly recommended that you make periodic reviews of this page.

If any provision of the ToU is found by a court of competent jurisdiction to be invalid, the remaining provisions of the ToU will remain in full force and effect.

Limitation on claims

Limitation on claims regardless of any statute or law to the contrary, any claim or cause of action relating to or arising out of the service or ToU must be filed within one year after such claim or cause of action arose, or be forever barred.

Entire Agreement

The terms of this ToU constitute the entire agreement between the User and the Site and govern the use of the Site and its services by the User. The terms of this ToU supersede any prior agreement that may have been made between you the User and the Site.

Governing Law & Jurisdiction

The terms of this ToU shall be governed by the laws of the State of California.

User and Site agree to submit to the personal and exclusive jurisdiction of the courts located within Santa Barbara County, California.

Notwithstanding the foregoing, nothing in this Section shall limit the application of the laws of the State of California to any action or proceeding brought by the Site against any User and, for the avoidance of doubt, the terms of this ToU shall apply to all Users universally; including, but not limited to, any Users located within the geographic and jurisdictional areas of South America, Central America, Spain and Portugal and nothing in this ToU shall prohibit and/or restrict the Site from instigating proceedings against any Users located within these jurisdictions in any such jurisdiction, including the aforementioned jurisdictions, as the Site deems appropriate.

No Waiver

Any failure of the Site to enforce or exercise any right or provision of the ToU shall not constitute a waiver of such right or provision.
